Terms of Service

Accessing the Blackroot Labs network, including our Studio interface and portfolio applications, constitutes agreement to these protocols. We build for professionals; we expect professional conduct.

1. Usage Licenses

Blackroot Labs grants you a limited, non-exclusive, non-transferable, and revocable license to use our Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Blackroot, in the manner permitted by these Terms.

You may not reverse engineer, decompile, or disassemble our proprietary "Studio OS" software or any underlying algorithms of our portfolio companies (e.g., OmnoStock sync engines).

2. Intellectual Property

The "Blackroot" name, the kinetic logos, the "Barely-There" UI design system, and all related names, logos, product and service names, designs, and slogans are trademarks of Blackroot Labs. You must not use such marks without the prior written permission of the Studio.

3. Beta & Experimental Access

Many of our tools (marked as Alpha/Beta in the Portfolio Index) are experimental. By accessing these tools, you acknowledge that:

They may contain bugs or errors.
They may experience downtime for unscheduled maintenance.
Data integrity in non-production environments is not guaranteed.

4. Liability Limitations

To the maximum extent permitted by law, Blackroot Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

5. Governance Law

These Terms shall be governed by the laws of the Federal Republic of Nigeria, without respect to its conflict of laws principles. Any claim or dispute between you and Blackroot that arises in whole or in part from the Services shall be decided exclusively by a court of competent jurisdiction located in Lagos.
